ARTICLES OF AMENDMENT AND RESTATEMENT TO THE
ARTICLES OF INCORPORATION OF
SPRING CREEK DITCH IRRIGATION COMPANY
THE UNDERSIGNED CORPORATION, pursuant to the Utah Revised Nonprofit Corporation Act, Title 16, Chapter 6a, Part 10, Utah Code Annotated, 1953, as amended (the “Act”), hereby adopts the following Articles of Amendment and Restatement to its Articles of Incorporation (the “Articles”):
WHEREAS, The Articles of Incorporation of Spring Creek Ditch Irrigation Company, dated May 14, 1942, are hereby amended and restated, in their entirety, for the purpose of updating the Articles of Incorporation in conformance with the new provisions of the Act and other new statutory enactments pertaining to nonprofit mutual water companies, and providing for new classes of stock and related changes, as follows:
ARTICLE I
CORPORATE NAME
The name of the corporation is the Spring Creek Ditch Irrigation Company (the “Company”), is incorporated as a nonprofit corporation under the Act.
ARTICLE II
DURATION
The period of duration of the Company shall be perpetual unless sooner dissolved as provided in the Act
ARTICLE III
PURPOSES AND POWERS
A. Purpose and Powers: The purposes and powers of the Company and the business for which the Company is formed are:
(1) To acquire, own, operate, manage, repair, maintain, and replace water diversion and canal systems and all related and appurtenant facilities and equipment;
(2) To own and acquire, by appropriation, purchase, condemnation, lease, contract, change, exchange, or otherwise, all needful water rights, water stock and sources of water supply for use in connection with the water diversion and canal systems of the Company and the water supply flowing in and through the same, and to regulate, control and distribute said water supply to the several shareholders of the Company;

AMENDED AND RESTATED
BYLAWS, RULES, AND REGULATIONS
OF
SPRING CREEK DITCH IRRIGATION COMPANY
WHEREAS, the Board of Directors (the “Board”) of Spring Creek Ditch Irrigation Company, (the “Company”) previously adopted Articles of Incorporation on May 14, 1942; and
WHEREAS, the Board adopted Amended and Restated Articles of Incorporation on February 25, 2023 (“Articles”); and
WHEREAS, the Articles grant the Board the authority to amend, adopt, and promulgate rules and regulations to govern Shareholder interests in the Company, the administration and business affairs of the Company, the transfer of shares of stock, ownership and management of a distribution system, procedures for assessing and collecting assessments and fees, and all other matters related to the orderly governance of the Company and a fair and equitable distribution of water to its Shareholders; and
WHEREAS, the Board previously adopted “Bi-Laws, Rules, and Regulations of the Spring Creek and Spring Creek Ditch Irrigation Companies,” approved February 25, 1989; and
WHEREAS, on July 12, 2001, the Company entered a contract with the Wasatch County Special Service Area #1 to supply Project Water developed by Bonneville Unit of the Central Utah Project that required certain amendments to the Company’s Articles of Incorporation and Bylaws, Rules, and Regulations; and
WHEREAS, the Board deems it necessary and appropriate to amend, adopt, and promulge Amended and Restated Bylaws, Rules, and Regulations (“Bylaws”), to, among other objectives, be consistent with the Company’s Articles, account for contemporary conditions, and provide the Company additional flexibility in the management of Company affairs; and
NOW, THEREFORE, BE IT HEREBY RESOLVED, the Bylaws governing the Company are as follows:
